The reasons why it is better to structure it, as an EIS is as follows:
1. The investors would get tax relief on the way in – of 30% on their income tax – so assuming they have income tax - that would be a substantial saving (and could be higher if we structure it partly as a Seed EIS – up to 50% income tax saving). The investors would receive their tax rebate circa 6 months after the investment and the cheque would come directly from HMRC. The new health club company still receives the full £150,000 from each investor.
2. The investors would also get capital gains tax deferral – so if they had any capital gains they could defer the tax for the period of time they have invested in the health club. This in effect is a form of cash flow saving for the investors.
3. Very importantly – the investors would not be taxed on the investment once they sell – so for example – if they put £150,000 in and in four years time they sell for £225,000 – there is no capital gains tax on the gain of £75,000.
4. The investors investment of £150,000 would be 100% free from Inheritance Tax after 2 years. This is a tax many people don’t like to think about – but is very important to plan for and is one of the great benefits of structuring it as an EIS.
5. I should point out that in order to obtain the above EIS tax advantages, the investors must stay in for at least three years. This may be an advantage to the new health club – as it means you know that you most likely have all the investors in for at least three years.

Rising numbers of men are having laser treatment to remove hair from their ‘Hobbit feet’, according to doctors.
They say trends for wearing flip-flops and sandals have made men increasingly self-conscious about the look of their legs.
At one private clinic in London, the numbers coming forward for the £700 treatment to remove hair have doubled in the past year.
Dr Michael Prager, a dermatologist based just off Harley Street, says he performs two sessions each day on men worried about looking like Hobbits from JRR Tolkien’s fantasy novels, in which they are described as having feet covered with curly hair and thick, leathery soles, making shoes unnecessary.
He said: ‘The fashion has changed: men show more leg and they want their feet to look good. I think what you’ll see soon is a trend for men to have no leg hair as well.’
Margaret Dabbs, a foot expert with clinics in Britain and Dubai, said the number of male clients had grown substantially over the past few months.
It takes about eight sessions of up to an hour to remove the hair from men’s lower legs and feet.
The treatment involves using a laser that damages the follicles and prevents hair growth. The hair will normally grow back within a few months or years depending on the individual.

This is the latest trend that suggests men are becoming increasingly proud about their bodies.
In January, the Private Clinic on London’s Harley street reported that the numbers going under the knife to have their so-called ‘man boobs’ removed had risen by 38 per cent in a year.
Dr Dennis Wolf one of the specialist doctors said: ‘I have certainly noticed an increase in the number of men who come to me to find out more about male chest reduction procedures.
‘Today men are more aware of the treatments available to them and are more open to the possibility of undergoing a cosmetic procedure in a bid to get the shape and the physique that they would like.’
Men account for ten per cent of all cosmetic surgery procedures - which doesn’t include laser treatment - according to the British Association of Aesthetic and Plastic Surgeons.

What is BMI?
The Body Mass Index (or BMI) is a way of seeing if your weight is appropriate for your height. The actual calculation is your weight (in kilograms) divided by your height (in metres) squared but it's also easy to read on the chart. BMI can be divided into several categories and generally the higher your BMI, the greater your risk of a large range of medical problems.
BMI charts are calculated for adults only (separate charts are available for children’s weight and heights). Inaccuracies can also occur if you're an athlete or very muscular as this can give you a higher BMI even if you have a healthy level of body fat and this BMI chart is not appropriate for women who are pregnant or breastfeeding, or people who are very frail.
As BMI is based on weight and height, by losing weight you will reduce your BMI and put yourself into a lower risk group. A healthy diet, including a balance of food groups, vitamins and minerals, is essential for a long and active life. Keeping it simple, body weight and shape are a balance of energy intake (dietary calorific content) against output (calorific burn from activity & exercise).
Many studies have shown that, to slowly and steadily lose weight, any diet which includes a healthy balance will work if you're motivated. Ideally a low fat, high fibre diet is best but low calorie diets, low-carb diets, meal replacement diets or simply reducing portion size will work as long as, at the end of the day, you're not taking in too much energy for your body’s particular needs. Generally, to lose 1lb /week you need to take in 500 calories less every day.

Is your body hair growing out of control? Hair removal experts discuss the best solutions for men.
It used to be that hair removal was strictly a female thing. Unless you were a bodybuilder, cyclist, swimmer, or male exotic dancer, chances are your body hair remained untouched.
Not so anymore. Experts report that more and more men are opting for the same grooming rights as women - including smooth body skin.
"Most men don't necessarily want it all removed, but increasingly they do want it thinned out, on their back and chest, for example," says dermatologist David Goldberg, MD, who regularly performs laser hair removal on men.
Hair waxing specialist Michelle Serniuk says men seeking hair removal now make up a good portion of her clientele.
"We get a lot of men who want waxing on their eyebrows - they want to take away that unibrow look and they want a shaping -- plus they want the area around their ears or the back of the neck cleaned up as well," says Serniuk, a waxing specialist at a Day Spa at the Hackensack University Medical Center.
At the same time, various media reports suggest that many men are now opting for that longtime staple of female grooming - the bikini wax.
"We have definitely had men requesting this," says Serniuk.
But unlike women, for whom hair removal is second nature by junior high school, men often find themselves at a loss for how to deal with excess body hair.
For those men, here's the lowdown on the most common hair removal options available today.
Hair Removal Option No. 1: Laser Hair Removal Treatments
What It Does: Using laser light energy to penetrate the hair shaft, it actually kills the hair root. This doesn't kill the follicle (the place where hair growth starts). So technically, another hair can grow in its place, but it's difficult. That means results of laser hair removal last a fairly long time.
How Long It Takes: Roughly 30 minutes per treatment, up to eight treatments needed.
Best For: Removing or reducing hair on back, chest, stomach, shoulders, and genital area. Works best on light skin with dark hair; not suitable for blond or white hair. Black skin responds well to only one type of laser, the Nd: YAG.
Cost: £400-500 per treatment.
Lasting Result: After all laser hair removal treatments are completed, results could be almost permanent, with touch-up treatments annually or biannually to maintain results.
Expert Comments: "Most men utilize laser hair removal for the back, upper arms, and chest and most want it thinned out, not removed -- something which lasers can easily accomplish," says Goldberg. In fact, other than electrolysis, laser hair removal is the only hair removal treatment that allows for thinning, rather than complete removal. While the average man needs five to seven sessions, as men age, more hair grows, especially on their backs, says Goldberg. Reducing stomach fat
OVERVIEW OF THE CAUSE AND A CURE
To lose stomach fat it is helpful to know the cause. Consuming too many refined processed carbohydrates is the major cause of body fat accumulating around the abdomen or stomach area, and a major cause of insulin resistance. If you are unsure what these foods are, you will find a list of refined processed carbohydrates in the Sources and Related Links section, which is located underneath the bottom of this answer. Replace refined processed carbohydrates with specific 'fat burning' proteins. You will also find a list of these specific fat burning proteins in the Sources and Related Links section.
In addition, to help lose stomach fat it's is important to drink enough water to remain hydrated and to enable the fat burning proteins to work properly. Drinking plenty of fresh water daily helps your body to process fat burning proteins. An average person should drink 8-10 8 oz. glasses per day. Avoid artificial sweeteners and drink your coffee/tea black. If you are an athlete or if you live in a dry area, you might need to drink more water. If you have heart or kidney disease, you need to check with your doctor regarding your water intake.
So, replace refined processed carbohydrates with specific fat burning proteins and take advantage of the thermic effect of these nutritious foods to burn body fat. Use the lists of refined processed carbohydrates and the list of fat burning proteins as your daily guide for what to eat and what to avoid.
Protein and fats as well as fiber will help you to feel full. Eat enough to accommodate your activity level. Count your carbohydrate intake.

EXERCISE IS OPTIONAL
Contrary to popular belief, ab exercises do not target the fat around your mid-section nor do they help you to lose stomach fat. Doing ab exercises will define stomach muscles but you must first get rid of the fat that is hiding them. You can lose stomach fat by just making the dietary changes listed above. However, if you want to burn more body fat overall you can do so by moving your body in a cardio way. Go jogging, biking, or brisk walking, until you're starting to feel exhausted, take a break, perhaps one or two minutes, then repeat. Do that every second day, not every day (that would be over-training).
Good forms of cardio exercise are:
* Brisk walking (not walking at a normal pace)
* Jogging
* Trampoline
* Cross-country skiing
* Aerobic dancing
* Mixed martial arts or kickboxing (when done at a cardio pace)
* Biking (when done at a cardio pace).
There are different degrees of cardio from mild to intense. Any activity that increases your heart and respiration rates is cardio exercise. See the Sources and Related Links section, underneath the bottom of this answer, for a choice of free cardio exercise plans -- mild, moderate, or intense.
Other optional supplemental exercises that can assist cardio exercises are Pilates, which helps to sculpt muscles, and weight training, which helps to build muscles. Muscle burns calories. There are free weight training workouts, suitable for beginners or more advanced, in the Sources and Related Links section underneath the bottom of this answer. On the list of fat burning proteins, you will find adequate protein to repair your muscles if you are weight training. Doing cardio 3-5 times a week with combination the of weight training 2-3 times a week is a good way to burn body fat overall.
Another purely optional, supplemental form of exercise is abdominal exercises associated with breath control mechanisms such as Hatha yoga - Asanas. Vajrasana with bending to the front might help a little (again, these are just optional and not essential). To do that you need to kneel down, sit on your knees, touch your thumb with the index finger while leaving other three fingers straight on both hands, keep this in the sides of the pelvic border and bend forward as much as you can. If you wish to try this, it is recommended that you do so under the guidance of a person who is familiar with Yogasanas.
Good posture can help. You use many core muscles to hold yourself up with good posture. Back muscles are often overlooked. The back helps you hold yourself up from behind. You may wish to talk to a fitness expert to find out proper ways to do back muscle exercises. Remember, however, that the best and most effective exercise for overall fat burning iscardio exercise. Yoga of any kind, or Pilates, or back muscle exercises, or slow walking (rather that brisk walking) are not usually considered cardio exercises. Again, exercise is optional.
You will however, need to limit refined processed carbohydrates to stop fat from accumulating around the stomach and abdomen.
MENTALITY:
When aiming to lose stomach fat try to avoid emotional eating and weight gain. Reduce stress and get plenty of sleep; both factors are related to emotional eating.
